These Terms of Service are a binding agreement between Colo Media LLC (“Colo Media,” “we,” “us”) and the business that subscribes to our services (“you”).
1.1 Acceptance. You accept these Terms when you check the box agreeing to them and complete checkout, or when you accept or pay a quote or invoice that refers to them. The person who accepts confirms that they are authorized to bind the business named in the Order.
1.2 Your Order. Your “Order” is the plan summary on your sign-up page, the checkout you complete, and any written quote, invoice or statement of work (“SOW”) we agree with you later. Your Order states your plan, what it includes and your fee. The day you complete checkout is your “Start Date.”
1.3 Order of precedence. If documents conflict, a signed SOW controls for its project, then your Order, then these Terms.
1.4 One business per Order. Each Order covers one business. A second business you own, such as a separate brand, license or company, needs its own Order.
1.5 Electronic acceptance. Your electronic acceptance has the same effect as a handwritten signature. Electronic records of your acceptance count as originals.
1.6 Version. This is version 2026-10 of these Terms. It stays available at colo-media.com/terms/2026-10. We change these Terms only as described in Section 10.3.
We build, host and run your website and provide the marketing services listed in your Order.
2.1 Plan services. Your plan includes the services listed in your Order. Services not listed there are not included.
2.2 Ongoing work. Some plan services are ongoing, such as posts, review replies, listings work and service and area pages built over time. We deliver them at the frequency your Order states or, where it states none, at the pace we judge best for your results.
2.3 Edits and changes. Your plan includes up to 4 small edits a month unless your Order states otherwise. A small edit is a change to text, hours, prices, photos or a listed service on an existing page that takes about 15 minutes or less. Unused edits do not roll over. Larger changes, such as redesigns or new features, are quoted before work starts.
2.4 Add-on services. Ad management, logo and branding work and the other services in Section 8 are not part of any plan. They apply only when a written quote, invoice or SOW adds them.
2.5 Launch. We aim to launch your website within about 14 days after we receive the onboarding items in Section 7.1. Missing or late items move the launch date.
2.6 Tools and subcontractors. We use third-party software (such as hosting, CRM, call tracking and AI tools) and may use subcontractors. We remain responsible for their work under these Terms. We may change the tools we use as long as your plan’s services stay substantially the same.
2.7 AI-assisted content. We use AI tools to help draft content such as posts, pages and review replies. A person on our team reviews content before it is published.
You pay the fees in your Order, charged automatically each month in advance starting on your Start Date.
3.1 Fees. Your plan fee is the amount stated in your Order. Fees for add-ons and projects are the amounts we agree with you in writing and state on our quote or invoice. We never charge for add-on work you have not agreed to in writing.
3.2 Automatic payment. You authorize Colo Media and our payment processor, Stripe, to charge the card or bank account you provide for your plan fee on your Start Date and on the same date each month until your plan ends, and for any other fees in your Order. For a bank account, this authorization covers recurring ACH debits. You can update your payment method through the billing link we provide.
3.3 No partial refunds. Fees are paid in advance. They are not refunded for partial months, unused edits or services you chose not to use, except as Sections 9.2 and 9.3 provide.
3.4 Failed payments. If a payment fails, we will notify you by email. If the amount is still unpaid 10 days after that notice, we may suspend the services, including taking the website offline, until the balance is paid.
3.5 Billing questions and disputes. Raise any billing question with us in writing within 30 days of the charge. Amounts you do not dispute stay due. If you dispute a charge with your bank or card issuer without first raising it with us, we may suspend the services until the dispute is resolved. If the charge is upheld, you will repay any dispute fee our processor charged us.
3.6 Fee changes. We may change your plan fee with 30 days’ written notice. You may cancel before the new fee takes effect.
3.7 Taxes. Fees exclude sales and similar taxes, which you pay where they apply.
3.8 Ad spend. You pay all advertising spend directly to the ad platforms (Section 8.1). We never pay ad spend on your behalf.
Your plan runs month to month from your Start Date until either of us cancels.
4.1 Monthly term. Your plan renews automatically each month on your billing date until it is cancelled. There is no minimum term.
4.2 Cancellation by you. You may cancel at any time by email to the address in Section 10.5 or through the billing link we provide. Your plan ends at the end of the billing month you have already paid for, and you will not be charged again. For example, if you are billed on the 13th and cancel on November 20, your plan ends December 12.
4.3 Cancellation by us. We may cancel your plan for any reason with 30 days’ written notice. If we cancel without cause, you may receive your website at no charge under Section 5.3.
4.4 Termination for cause. Either of us may end these Terms if the other materially breaches them and does not fix the breach within 15 days after written notice. We may also end them for nonpayment under Section 3.4, or if you use the services for anything unlawful.
4.5 Suspension. Besides suspension for nonpayment (Section 3.4) or a payment dispute (Section 3.5), we may suspend any part of the services where the law, a platform’s rules or a security threat requires it. We will tell you why and restore the services when the issue is resolved.
4.6 Add-on services. Each add-on ends under its own terms. Ad management can continue on its own after your plan ends if we both agree in writing.
4.7 What survives. Sections 5, 6, 9 and 10, and any unpaid fees, survive the end of these Terms.
When your plan ends for any reason, we stop hosting your website and it goes offline unless you buy it, and you keep every business asset that is yours.
5.1 What stops. On the last paid day, these stop: website hosting, contact forms, call tracking numbers, review requests and text automations, missed-call text-back, the client dashboard and monthly reports. The same applies during a suspension.
5.2 What you always keep. Whether or not you buy the website, you keep your domain name, your Google Business Profile with all its reviews, posts and photos, your ad accounts and their history, analytics accounts in your name, your leads and customer records, your own content, and any logo or brand work you have paid for in full.
5.3 Option to buy the website. You may buy the website at any time during your plan or within 30 days after it ends (the “Buyout Window”). We will quote the buyout price in writing when you ask. If we cancel without cause under Section 4.3, there is no buyout charge. After payment, we deliver the items in Section 5.5 within 10 business days and give up to 1 hour of help pointing your domain to your new host.
5.4 Data export at any time. You may ask for an export of your leads, call log and form submissions at any time, not only when your plan ends. We deliver it as CSV files within 10 business days.
5.5 What a buyout includes.
5.6 What a buyout does not include. A bought website is the site itself, not the platform. Anything that runs on our systems stops: form processing, call tracking, review requests, text automations, the dashboard, AI updates, hosting and support. Contact forms will not deliver leads until you connect them to your own form service. Stock photos and fonts we license only for our own use are not included; we will list them so you can license or replace them. The website is delivered as is, with no further updates or warranties.
5.7 After the Buyout Window. We may delete the website files after the Buyout Window closes. A later request is a new build at our then-current prices.
5.8 Domain. Your domain is registered in your name, and you may point it anywhere at any time. We will not hold it, transfer it or let it lapse.
5.9 Phone numbers. Your main business number is never replaced. Call tracking numbers belong to us and stop working when your plan ends. If you ask during the Buyout Window, we will forward them to your main number for 30 days, or port them to your carrier where the carrier allows, for a fee we quote on request. Do not print tracking numbers on vehicles, signs or printed materials.
5.10 Offboarding steps.
You own your business assets and data; we own the website code and platform until you buy the website.

6.1 Your use of the website. During your plan, you may use the website for your business.
6.2 Our use of your content. You let us use your content to deliver the services while these Terms are in effect.
6.3 Portfolio. We may show the work in our portfolio unless you opt out in writing.
6.4 Know-how. We keep our general skills, methods and templates and may use them for other clients, without using your confidential information.
You supply accurate information and access, and you are responsible for the claims and licenses of your own business.
7.1 Onboarding items. Within 7 days of your Start Date, you provide your logo and photos, list of services and service area, hours, license numbers, owner access to your Google Business Profile, access to your domain registrar, and ad account access if ads are part of your Order.
7.2 Accuracy. You are responsible for the accuracy of your prices, licenses, certifications, insurance and other claims about your business. You review any statement about licensing, monitoring, response times or certifications before it is published.
7.3 License numbers in advertising. You tell us every license number that must appear in your advertising, and we display the numbers you provide. For example, Virginia requires licensed private security businesses to show their license number on business advertising. You remain responsible for meeting your own licensing rules.
7.4 Approvals. You approve or comment on drafts within 5 business days. Routine content, such as Google posts from completed jobs and replies to 4- and 5-star reviews, is published without separate approval unless you ask to review it.
7.5 Texts and calls to your customers. You confirm that you have any consent the law requires before you give us a phone number to text, including for review requests and reminders. You tell us of any opt-outs, and we honor STOP requests. You provide the business details needed to register your texting number with the carriers.
7.6 Reviews. We send review requests to all customers you provide, not only satisfied ones. Neither of us will write, buy or reward fake reviews, or hide or filter out negative ones.
7.7 Call recording and AI answering. If your plan includes call recording or AI answering, you agree to the disclosure greeting we set up.
7.8 Lawful use. You will not ask us to publish anything unlawful or misleading, or anything that infringes someone else’s rights.
Add-ons are separate from your plan, apply only when we agree them in writing, and carry the fees stated on our quote or invoice.
8.1 Advertising management. We manage Google Ads (Search and, where available, Local Services Ads) and Meta Ads (Facebook and Instagram) in your own ad accounts.
8.2 Logo and branding projects. Logo and branding work is a one-time project that you own outright once it is paid in full, whether or not your plan continues.
8.3 Other add-ons. Other add-ons include extra pages or work beyond your plan, Google Business Profile verification, reinstatement work beyond the standard appeal in Section 9.7, citation cleanup and porting tracking numbers to your carrier. Any service not listed in your Order is quoted in writing before work starts.
We promise professional work, not specific results, and each party’s liability is limited.
9.1 No guaranteed results. Rankings, calls, leads, reviews and revenue depend on Google, Meta, competitors and your own business. We do not guarantee any of them, including leads, cost per lead, rankings or return on ad spend.
9.2 Professional work. We will perform the services in a professional manner. If we do not, your remedy is for us to redo the work or refund that month’s fee for the affected service.
9.3 Downtime credit. We use reasonable efforts to keep your website online. If it is down for more than 24 hours in a row because of us, you receive a credit of 1/30 of your monthly plan fee for each full day of downtime.
9.4 No other warranties. Except as stated in these Terms, the services are provided as is, without implied warranties of any kind, including merchantability and fitness for a particular purpose.
9.5 Limit of liability. Neither party is liable for indirect, incidental or consequential damages or lost profits. Our total liability under these Terms is limited to the fees you paid us in the 3 months before the event giving rise to the claim. This limit does not apply to fees you owe us.
9.6 Indemnity. You will defend us against third-party claims arising from your content, your services or licensing, or texts sent to numbers you supplied without required consent. We will defend you against third-party claims that material we created (not your content) infringes someone else’s intellectual property.
9.7 Google and other platforms. Google, Meta, phone carriers and the other platforms we use for you set their own rules, change them without notice, and increasingly enforce them with automated systems. We manage your profiles and accounts in line with each platform’s published guidelines and generally accepted industry practice, but we do not control what a platform does.
10.1 Governing law and courts. Virginia law governs these Terms. Disputes go to the state or federal courts serving Chesterfield County, Virginia, and both parties consent to those courts.
10.2 Whole agreement. These Terms and your Order are the whole agreement between us about the services and replace any earlier proposals or discussions.
10.3 Changes to these Terms. We may update these Terms by emailing you at least 30 days before the change takes effect. Each update is published as a new version at its own address, and earlier versions stay available. If you do not agree to an update, you may cancel before it takes effect. Continuing your plan after the effective date means you accept the update. Changes to your Order, other than fee changes under Section 3.6, require agreement from both of us in writing, and email counts.
10.4 Assignment. Neither of us may assign these Terms without the other’s consent, except to a buyer of all or most of its business.
10.5 Notices. Notices to us go by email to [email protected], or by mail to Colo Media LLC, 14321 Winter Breeze Dr, Suite 52, Midlothian, VA 23113. Notices to you go to the email address on your Order. Email notices take effect on the next business day.
10.6 Privacy and data security. We handle personal information as described in our Privacy Policy at colo-media.com/privacy. Stripe processes payments, and we do not store your full card or bank account numbers. We use reasonable safeguards for your data and will notify you without undue delay if a security incident affects it.
10.7 Confidentiality. Each of us will keep the other’s non-public business information confidential and use it only to perform these Terms, except where the law requires disclosure.
10.8 Independent contractors. We are independent contractors. Nothing in these Terms creates a partnership, employment or agency relationship.
10.9 Events beyond control. Neither of us is liable for delays caused by events beyond our reasonable control, including outages at Google, Meta, Stripe or hosting providers, and platform policy changes or automated enforcement (Section 9.7).
10.10 Severability and waiver. If a court finds any term unenforceable, the rest of these Terms stays in effect. Not enforcing a term is not a waiver of it.
10.11 Contact. Questions about these Terms go to [email protected] or 540-632-1734.
Version 2026-10. Effective October 12, 2026.
